#national: Thousands of Incorporated Societies Risk Deregistration if Easter Deadline Missed
Thousands of community organisations across Aotearoa could lose their legal status if they fail to re-register under new legislation before an approaching Easter deadline.
Under the Incorporated Societies Act 2022, all societies currently registered under the older 1908 law must apply to re-register by 5 April 2026, which falls on Easter Sunday. Organisations that do not complete the process by that date will automatically be removed from the register and cease to exist as incorporated societies.
The law reform replaces the more than century-old Incorporated Societies Act 1908 and introduces modern governance requirements designed to improve transparency, accountability and dispute resolution processes within not-for-profit organisations.
More than 23,000 incorporated societies operate across New Zealand, including sports clubs, cultural groups, charities, community organisations and industry associations. While many have already completed the transition, thousands have yet to re-register as the deadline approaches.
The process requires societies to review and update their constitutions to meet the new legal requirements, hold a general meeting with members to approve the changes, and then submit an application through the Companies Office.
Experts warn that failing to re-register could have serious consequences for organisations. Without incorporated status, a group would lose its legal identity and the ability to enter contracts, hold property or manage bank accounts in its own name. Members could also face personal liability for the organisation’s obligations.
If a society does not re-register and takes no further action, it will effectively cease to exist. While it may be possible to apply later to restore the organisation to the register, that process is not automatic and may involve additional compliance requirements.
Officials say the transition is intended to strengthen the governance of community organisations and ensure they have clear rules for decision-making, financial reporting and dispute resolution.
With the Easter deadline now only weeks away, incorporated societies are being urged to review their governance documents and complete the re-registration process as soon as possible to avoid losing their legal standing.
